Possible discrepancy in Scott Crist’s latest Form 4 — 50 shares or 50,000?
Dear Arbe_investors,
My AI assistant, Arbet have found that something interesting in the latest Form 4 filed for Arbe director Eugene Scott Crist, and I’m curious if anyone else has looked into this.
According to Arbe’s earlier Form 3, Crist directly owned 964,182 ARBE shares.
In the more recent Form 4, the filing appears to report:
50 shares purchased Purchase price: $0.605 per share
Direct ownership after the transaction: 1,014,182 shares
The numbers do not seem to reconcile.
If he purchased only 50 shares:
964,182 + 50 = 964,232
But the filing shows 1,014,182 shares after the transaction.
Interestingly:
964,182 + 50,000 = 1,014,182
So one possible explanation is that the transaction may actually have been 50,000 shares at $0.605, or approximately $30,250, rather than 50 shares/$30.25.
Of course, it could also simply be that the post-transaction ownership figure was entered incorrectly, or that there was another ownership adjustment not reflected in the transaction line.
I emailed Arbe Investor Relations asking them to clarify whether:
The purchase amount should have been 50,000 shares rather than 50,
The post-transaction ownership total was incorrect, or
There was another transaction/adjustment explaining the difference.
I also asked whether an amended Form 4/A may be filed if this was a clerical error.
For now, I would not treat this as a confirmed 50,000-share insider purchase until Arbe or the SEC filing is corrected.
But the arithmetic is definitely interesting.
Has anyone else noticed this or found another filing that explains the extra 49,950 shares?
