My business partner in an online business and I had a disagreement recently. As a result, he decided to withdraw everything from the bank account and close it as well as our merchant services account, and also attemtped to terminate the software agreement with the service that manages the inventory. The business has not operated since these actions but I'm trying to move forward without him. This requires opening a new bank account and merchant services account, but the bank requires both of our signatures since it's a partnership. He has provided with me a letter of withdrawl from the partnership, but not a formal dissolution. I've looked up a few things and I've gotten mixed messages on whether that letter is actually all that I need to say he's officially no longer part of the business and open a new account. I obviously don't want him to be entitled to anything regarding the business moving forward as well. I need to be 100% certain he has no claim to the business any longer. Am I clear or do I need some sort of official dissolution paperwork?
