I'm no expert but a quick read seems to say that the offering is only open to people/companies that will own over 4.99 percent of the outstanding stock after completion of their purchase. I suppose that's one way to lower the retail shareholder base but it feels a bit like a kick in the pants.

If I'm off on that translation please correct me.
