Buy To Let Mortgage Dispute

Need to refinance a cash purchase with a btl mortgage. It is held in a limited company. England & Wales.

We have a shareholder dispute. The sole director wants to refinance, as does a 50% shareholder. There is one 50% shareholder who utterly refuses to co-operate. He wants to leave the company and has instructed solicitors to represent him.

Can we bypass a 50% shareholder and refinance anyway? Would any lenders allow that? He obviously won't sign a PG or give any consent.

I believe I am in a shareholder dispute and would love some advice or thoughts on next steps.

My holding company I own 100% of owns 50% in a property SPV. The SPV owns a house which was bought cash through something similar to a bridging loan. It has not been refinanced yet.

Someone's company owns the other 50%. We have since had a breakdown in our relationship due to dishonesty, personal conduct and gross incompetence. I do not wish to continue and want out.

The other shareholder has offered to buy my shares, however they are offering quite below fair value - maybe 30-50% below market value of the shares. They also refuse to agree to list the house for sale via an estate agency.

They have given me two options: A) Sell my shares at a heavy discount. B) Refinance and share profits as usual.

Neither of us are directors. His father is the sole director. I am under the impression they can't get a mortgage without me, as 95% of products need a Personal guarantee from all significant shareholders - which I will of course refuse to sign. Then if we can't refinance, we can't pay the loans, meaning the company is deadlocked?

How do I get my money out of this company? Do I need to threaten the director with litigation and get the company account froze?
