Big News

There is a meaningful new development: on September 29, 2026, Copley Acquisition Corp filed a preliminary proxy statement (PRE 14A) seeking shareholder approval to extend the deadline for completing a business combination.

Copley’s current SPAC deadline is November 2, 2026. The proposal would allow Copley to extend that deadline one month at a time, up to nine times, potentially through August 2, 2027. Copley explicitly says its board believes the current November 2 deadline will not provide sufficient time to complete a business combination.

This is important for the Ignite transaction because it gives Copley a path to keep the SPAC alive while the transaction process continues. However, the filing is not a vote on the Ignite merger itself, and the extension has not yet been approved. The preliminary proxy still contains blanks for the meeting date and record date.

I found no newer SEC filing announcing that the Ignite deal has closed, been terminated, had its $150M valuation changed, or disclosed Aditxt’s final allocation of the 15M Ignite Holdings shares. Ignite’s investor page continues to describe the Copley combination as expected to close in the second half of 2026.

ADTX: The Market Is Valuing the Company at Pennies While Ignite Has a $150M Deal on the Table

I know ADTX has burned shareholders before. The dilution, reverse splits and Nasdaq delisting are impossible to ignore. But at roughly $0.0075 per share, I think the current setup deserves attention.

The main reason is Ignite Proteomics.
Aditxt acquired Ignite earlier this year and subsequently signed a definitive business-combination agreement with Copley Acquisition Corp. The proposed transaction values Ignite at approximately $150 million. If it closes, Ignite would become part of a newly formed, publicly traded company expected to list on the NYSE.

Meanwhile, ADTX itself is trading with a market cap of only around $7.5 million.

That valuation gap is enormous.

Under the agreement, Ignite’s equity holders are expected to receive approximately 15 million shares of the new public company, valued at $10 per share for transaction purposes. Because Aditxt currently owns Ignite, the potential value flowing back to Aditxt could be significant—even after accounting for debt, transaction costs, financing and other obligations.

There are also some interesting secondary developments:
● Aditxt sold Pearsanta but retained a 2.5% net-revenue royalty, capped at $2.5 million.
● Aditxt could receive another $500,000 in milestone payments from Pearsanta.
● Ignite is targeting precision oncology and functional proteomics, including technology designed to help determine which cancer therapies may work for individual patients.
● The Ignite transaction is still active according to Copley’s latest quarterly filing.

The next major catalysts should be:

  1. Filing of the Form S-4 registration/proxy statement
  2. Confirmation of the required transaction financing
  3. Announcement of the Copley shareholder vote
  4. NYSE approval for the new public company
  5. Completion or extension of the transaction before the current September 30 deadline

The biggest obstacle is financing. The transaction requires at least $22.5 million, including $15 million associated with Copley and $7.5 million from Ignite. Until that money is committed and the S-4 is filed, this remains extremely speculative.

I’m holding 220,000 ADTX shares at an average of $0.0115. I understand this could still fail, and I’m not pretending the $150 million valuation automatically belongs to ADTX common shareholders. Debt, dilution, preferred securities, lockups and transaction expenses could materially reduce the benefit.

But when a company valued by the market at roughly $7.5 million owns an asset involved in a signed $150 million transaction, I’m willing to watch the situation closely.
If the S-4 and committed financing arrive, I think the market may have to reassess ADTX very quickly. If the deal falls apart, the downside risk is obvious.

High risk. Potentially massive reward. Definitely not one to bet money you can’t afford to lose.

Homecoming Sept 26th

We’ll be making our first trip to Penn State for the Homecoming game on September 26! We’ll be staying in Lock Haven on both Friday and Saturday nights and driving in on game day.

We’re looking for some advice from those who have been before:
- What’s the best place to park if we’re not tailgating?
- Is it better to buy a parking pass ahead of time or use one of the campus parking garages?
- How early should we plan to arrive?
- How long should we expect it to take to get back to Lock Haven after the game?
- Any must-do traditions, food, or other tips to make the most of our first Penn State game?

Anniversary Trip

Planning a NYC Sports Trip – Looking for Feedback and Tips

Wife & I are coming to New York from Canada for a Tuesday-to-Monday trip this September and would love any suggestions, things I’m missing, or ways to improve the itinerary.

We are staying at The New Yorker Hotel from Tuesday through Saturday. I picked it because it’s close to Penn Station, Times Square, and seems like a good home base for getting around.

Current plan:
Tuesday
Land around 4:30 PM
Check into hotel
Walk around Times Square, Bryant Park, Fifth Avenue, and generally soak in NYC for the first evening

Wednesday
Hop-On Hop-Off Bus Tour
Visit Lower Manhattan, 9/11 Memorial, Wall Street, Battery Park
Yankees game that night

Thursday
Continue Hop-On Hop-Off Bus Tour
Central Park and Upper West Side
Broadway show in the evening (still deciding which one)

Friday
Explore more of Manhattan
High Line
Chelsea Market
Hudson Yards
Yankees game that night

Saturday
Rent a car and drive to Penn State for a Nittany Lions game
Debating whether to drive back to NYC after the game or stay overnight near State College

Sunday
New York Giants game at MetLife Stadium
Last full day in NYC

Monday
A few hours of sightseeing before heading to the airport
Flight leaves around 5 PM

A few questions:
Is the Hop-On Hop-Off bus worth doing for two days or should I spend one of those days using the subway and exploring on foot?

If you’ve done both, would you prioritize Top of the Rock, Empire State Building, One World Observatory, or The Edge?

Is driving back from a Penn State night game realistic, or am I better off staying overnight and returning Sunday morning?

Any must-do food spots near The New Yorker Hotel, Penn Station, Times Square, Yankee Stadium, or MetLife Stadium?

Any hidden gems that first-time visitors often miss?

If you had one free day in Manhattan, what would be your absolute must-see attractions?

We are big sports fans, so the Yankees, Penn State, and Giants games are the anchors of the trip, but I’d love to make the most of the NYC experience while we are there.
Thanks
