[QC] New saas - incorporate or not?

Hi all

I am 8 weeks from launching a saas. I am deciding between 2 lawyers to help with

  1. Trademark clearance search and opinion (search only; I won't be filing an application at this stage).
  2. Terms of Service and Privacy Policy.
  3. Paid subscription terms within the Terms: monthly/annual plans, automatic renewal, a free trial converting to paid, cancellation, refunds, price changes, and a free tier after the trial (including what happens to the user's data).
  4. Quebec Consumer Protection Act compliance for online subscription sales.
  5. Privacy Policy update for a payment processor (likely a U.S. company such as Stripe), including how the cross-border transfer should be described under Law 25.
  6. CASL consent for marketing emails.
  7. Site disclaimer review (the "not financial advice" language across the site
  8. Terms for an introductory offer for early subscribers (not decided yet).
  9. A template mutual NDA

My accountant advised against incorporation and wait until I have the revenue to justify accounting costs. Suggested liability insurance as a safety net.

Lawyers haven’t really pushed too hard on that point.

I am self funded and trying to launch as cost effectively as possible.

Any advice?

Budget Tracking - useful or not to stay on top of spending

Hi all

loving this community. Friends and family don't talk much about finances so it's nice to have a place to learn and share anonymously.

So, I tend not to track my spending. I do maintain an item level budget and keep them grouped but I stopped tracking or logging each expenditure years ago. 1) it just took too much time 2) created some guilt and shame 3) didn't provide the guardrails that fit my way of doing things. Instead, I look at things a couple of levels higher and worry more about making sure the entire pot, or 2-3 pots are covered and don't concern myself with whether or not I spent more or less on groceries versus entertainment. I'm not perfect. Some months I go over, some months I'm under...I never hit a bullseye and that's ok.

I feel like I am not alone in this. Most habits are tough to form and keep and I read that most who try and to track lose steam and give up entirely after a couple of months (and that may be generous).

What I do to ensure things go completely out of control is check my variable spending very 4-6 months and update my budget accordingly. If I'm trending higher in some areas I need to make adjustments in others. So groceries seem to be more expensive these days and if that rings true at my next review, I'' probably have to dial back another area since my salary is definitely not keeping up with higher prices.

Would love to hear other ways people keep track. thanks

How do people get through income gaps?

I recently went on short term disability for a couple or months after a hip replacement surgery. It was my first time missing work for an extended period in 25 years. It was also my first time as a mid career professional with a house, cars etc. I knew I was facing a 25% pay cut during the STD but didn’t expect the sticker shock when I got my first pay check below wha5 I was used to. Crazy thing is my rrsp contributions went down, my ESPPs…I didn’t imagine the down stream effect. This also means next years bonus will be a little lower.anyhow, I have a pretty good emergency fund that helped me get through it. The hard part is filling it back up.I’m just checking in to see how others manage these stints. Is it with an emergency fund, credit cards, cutting back or just ride it out?
