Who is still buying FFAI? And, more importantly...WHY?

Who is still buying FFAI? And, more importantly...WHY?

They almost literally told everyone that FFAI is nothing more than a shell ticker now and that they moved their assets to their other scam ticker FFR. You're probably going to be the same dumbasses that get stopped out when they inevitable raid this obvious sea of $1 stoplosses.

$XELA 2.0

DYOR, NFA.

The ruthless shell game that FF did between FFAI and FFR is eerily similar to what similar scam artist Par Chadha did with $XELA and $XBP a few years ago. $FFAI holders are essentially done. Jerry and YT wiped their asses with your money. Now they have a clean slate to do the same thing again with $FFR.

Here is an unsugarcoated breakdown of what is happening with Faraday Future ($FFAI) and FF EAI Robotics / AIxC ($FFR), and an honest assessment of whether the stock is essentially worthless.

A.I.-generated analysis:

1. What Is Happening Right Now?

Faraday Future announced a major restructuring transaction between $FFAI and its affiliated entity, AIxCrypto Holdings ($AIXC), which is rebranding its Nasdaq ticker to $FFR (effective September 30, 2026):

  • The Asset Transfer Deal: FFAI signed a non-binding term sheet to sell its entire "EAI Robotics" business to FFR ($AIXC) for an estimated $200 million valuation paid in all-stock.
  • The Pitch to Shareholders: Management is touting a proposed "special stock dividend of $2.246 per share" in FFR shares to FFAI holders, promising that FFR will become a "pure-play standalone robotics company" while FFAI rebrands as a "Physical AI investment holding company" and Robotaxi operator.
  • The Background Reality: AIxC (now FFR) was a small Nasdaq-listed crypto/AI shell (Qualigen) that Faraday Future gained controlling interest in earlier. Management is shuffling its robotics assets into a separate ticker to create a new "clean balance sheet" public vehicle.

2. Is FFAI Likely Worthless Now?

From a fundamental equity perspective, FFAI common stock carries an extreme risk of near-total loss (worthless or near-$0.00 valuation) due to four structural realities:

A. Trapped in a 99.4% Downward Spiral

Over the past 12 months, FFAI stock has dropped -99.4%. The company operates under substantial going-concern warnings, and its SEC Form 8-K filings explicitly state that failed future financings could force the company into bankruptcy protection.

B. The "Non-Binding" Term Sheet Trap

Promotional headlines highlight a "$200 million valuation" and a "$2.246 dividend", but the fine print reveals key caveats:

  • The deal is non-binding and subject to due diligence, special committee review, and definitive agreements. It may be modified or canceled entirely.
  • Even if completed, receiving shares in a newly carved-out micro-cap (FFR) does not eliminate the massive debt and dilution burdens hanging over the parent company or its ecosystem.

C. Relentless Debt Dilution & $90M Stock Sale

On September 18, 2026, Faraday Future detailed a $90 million ongoing stock sale plan (S-3 filing) and filed to register 2.9 million note-conversion shares for resale. Senior lenders continue to convert debt into millions of new shares. When fresh shares flood a small market cap, existing retail equity is diluted down toward zero.

D. Operational Cash Drain

Faraday burns millions per week while generating negligible commercial revenue. Selling or licensing imported white-label robots does not generate enough cash flow to cover hundreds of millions in net losses.

Summary

The FFAI to FFR deal is a classic micro-cap financial engineering maneuver. Management is shifting assets into a new ticker symbol ($FFR) to generate trading volume and attempt a fresh narrative restart.

However, because $FFAI is burdened by massive convertible debt, continuous share printing (dilution), and ongoing going-concern/bankruptcy warnings, its common stock is functionally approaching zero value over the long run, barring short-term PR-driven volatility spikes.

I wonder how many idiots saw "Tesla" and "Berkshire" in the headlines and decided to push the buy button without reading the article LMFAO. Probably a lot.

Another reverse split is pretty much guaranteed.

...and if you even remotely try and touch this toxic dilution scam ticker before then, you deserve to lose everything. I have never seen a ticker go from $10+ to below $1.50 post-reverse split and not eventually do another afterwards.

Now, you might be thinking, well they can't do another one. Well, they can. And they most certainly will. Yes, even if it sacrifices their NASDAQ compliance, which is much more strict starting in 2026. With the tranches upon tranches of convertibles they have left to offload onto you morons, it's mathematically impossible for them to NOT do another reverse split. They will use any appeal period that is given them to dilute everything that is left as fast as possible until they get get delisted.

Cheers to everyone who has been shorting.

Inside the mind of your typical $FFAI retail degenerate. Streeterville's bread and butter.

"Sumwun is twyin' to sell 5,000 shawes for $1.83. I guess I should buy wun hundwed wite now for $1.82."

One more time for the idiots in the back...

Use Level II if you are going to trade this trash. Your dinky purchase of 100 shares will not get you anywhere when there are multiple sellers / toxic converters trying to offload thousands upon thousands of their shares of toxic waste onto you and your degenerate comrades at the same time while you're buying.

And yes, this garbage is for intraday trading / shorting only. Extended hour activity is not a thing here, as they never release PRs at any of these strategic times. Even when they do, as we saw this morning, nothing will ever happen.

Holding is for losers. In and out. Wham bam thank you mam.

5 min chart:

- 8 and 20 SMA crossovers

-MACD

- and level II

will tell you exactly where the manipulation is happening and where to get in and get out. Short or long.

Shortsellers - Vote for your favorite Superhero

Their powers range from beaming out fluff press releases higher than a plane, to shooting out shares of toxic dilution and reverse splits faster than a speeding bullet. They have even been known to change company names, pivot business models and transition narratives faster than their retail trader nemeses can switch the direction of their positions.

They are the SCAMVENGERS.

Which one of these failed tech/EV zeroes...ahem...I mean heroes has made you the most short profits over the years?

$BINI

$NKLAQ

$FFAI

P.S. - Yes, a baby turtle died for this...and I don't care.

The only dancing he does well...

...is dancing around the subject. He can literally moonwalk around the elephant in any room.

In his latest weekly convertibles update today, he says that no new shares were issued last week. But of course fails to say why the share price continues to plummet. But we all know that it's because the toxic lenders are now shorting the stock - and using their convertibles to cover.

But when it comes to any other kind of dancing (as you can obviously see), he's a stiff, awkward dweeb. Cringe AF.

#FaradayNoFuture

I encourage everyone to refer to the company as Faraday No Future from now on, until it sticks and becomes ubiquitous. Until it feels more natural for everyone to call it this than Faraday Future. Every time you comment on one of FF, Jerry's or YT's social media posts, use this name and/or hashtag.

The name is appropriate because the CEO is going to soccer games and stiffly doing awkward dances at backyard BBQs held by F-list rappers while the company is going down in flames in a $30 million cash burn every quarter. Solvency just simply isn't sustainable. OTC then bankruptcy is coming. AKA death spiral.

What Jerry's "transparent" weekly note conversion posts weren't very "transparent" about.

Why convert at a $5.00 floor when the stock is under $3.00? Unpacking the mechanics behind $FFAI’s debt-forgiveness swaps, settlement lags, and short covers.

People look at management’s weekly disclosures showing lenders converting $474k of debt at a $5.00 floor—while the stock trades below $3.00—and assume these institutions are taking an immediate loss out of goodwill. That’s not how micro-cap toxic finance works. These converters aren't losing money; they are executing structured debt settlements, settling pre-arranged conversions, or covering lucrative short positions.

First, taking equity above market value is often a negotiated "debt forgiveness" swap. In exchange for clearing debt off Faraday's balance sheet at $5.00 per share to help the company hit working capital milestones or release promotional PR, lenders receive hidden sweeteners elsewhere in the deal—such as reset interest rates, extended maturity dates, fresh warrants, or cash restructuring fees. Second, there is a legal settlement lag: a conversion notice signed during a short-term price spike gets processed days later, meaning the $5.00 conversion price was fixed at the time of execution, even if the public disclosure hits after the stock price drops back down.

Finally, the most lucrative reason is convertible arbitrage. If a lender opened short positions higher up (for example, shorting at $6.00 or $7.00 during earlier pumps), converting debt at a $5.00 floor gives them physical, newly printed shares to hand directly to their broker to close out that short. They aren't buying $3.00 stock for $5.00; they are using $5.00 debt to lock in a guaranteed profit on a short sale executed at $6.00+. The $5.00 floor slows down the rate of share printing compared to a floating discount, but it is not a loss for the lender—it’s just a controlled liquidation mechanism.
