Faraday Future is laying off employees and cutting pay, offering stock instead

These 10-Q nuggets just keep on coming. I guess it isn't much of a surprise that this has happened, but rather that it is still happening

>Subsequent to June 30, 2026, the Company implemented staff reductions and temporary salary reductions as additional cash-conservation measures. The Company announced and explained these measures to affected employees and offered employees subject to the temporary salary reductions an opportunity to receive equity-based compensation intended to offset a portion of the reduction in cash compensation. The amount, timing and issuance of any such equity awards are subject to the applicable terms of the program, required approvals, applicable securities laws and the Company’s trading policies. These measures are intended to reduce near-term operating cash requirements but may not generate sufficient savings to alleviate the substantial doubt regarding the Company’s ability to continue as a going concern.

After all YT claimed 3 weeks ago that the company fundamentals have never been better "since sharpening our focus on the EAI robotics strategy"

Of course the stock offering is just another mechanism for dilution, albeit a small one, and a burden place directly on the backs of shareholders. I wouldn't surprised if they issued shares to employees and dragged their feet registering the shares for sale in the open market. Not much different than the share settlement agreements for suppliers.

12% of the $836k "surge in revenue" is attributed to YT Jia himself and the balance is still outstanding

$100,000 of the robot sales went to YT Jia along with a 38% discount off of MSRP.

This employee purchase program appears to be something made up out of the blue. A quick search on google and previous 10Q/K's shows nothing.

We can only guess at what the motive is here. Maybe he just wanted some free robot dogs roaming around his free mansion. Maybe he wanted to prop up the revenue for some good headlines. Maybe a "YT's robot outlet" will open up down the road. Maybe it's a genuine personal purchase that will get paid back (lol, right).

This is why people think it's a scam.

Is Faraday Future's next pivot a robotics spinoff? Will FFAI be left for dead?

Most have probably seen the PR by now. Lots of outlandish things said like taking the market cap from the current ~$13 million to 2021 IPO levels of $3.4 billion in two years. Establishing a $5 floor price on existing convertible notes as if they have any authority to change contracts with lenders whenever they need to. Or the weekly dilution updates. I'm actually looking forward to that one.

What jumped out the most to me was the third "sub-campaign" and the "independent public listing opportunities"

This is some pretty specific wording they slid in there. Not the usual word salad but directly saying they might IPO/Reverse merge/SPAC/whatever the robot business so they can continue 𝗍̶𝗁̶𝖾̶ 𝗌̶𝖼̶𝖺̶𝗆̶ raising capitol. Is YT realizing the robot ban might be the straw that broke the camel's back? The only way out is to spinoff into a new ticker with a clean slate and dump the FFAI baggage? Is my tinfoil hat too tight?

Case #1:2026cv01613 -- BITRON S.P.A. VS FARADAY & FUTURE INC. ---- FARADAY FUTURE KEEPS SCREWING THEIR SUPPLIERS -----

Much like the Costamp lawsuit here, FF lost a judgment in the amount of $223,000 and wanted to pay with shares. They entered into a Settlement and Release Agreement on Aug 15, 2025. FF did not deliver the shares in time and when they did 4 months later they were not freely tradeable. Bitron feels like they were scammed and want their money.

>The stock that was transferred on Feb 13th, 2026 was not freely tradeable, was not transferred to Bitron and did not have the value of $223,408.83

Just like the Costamp lawsuit, these shares are included in the S-3 registration statement that was filed on 7/10/2026.

Neither the lawsuit nor the S-3 state how many shares were issued but there's enough information here to figure it out.

The S-3 says this...
"number of shares based on the closing price of the Class A Common Stock on the trading day immediately preceding the day on which such Bitron Shares are issued"

As mentioned above, the lawsuit says this...
"The stock that was transferred on Feb 13th, 2026"

So that gives us $223,000 worth of stock at a closing price on Feb 12th, 2026. $223,000/$0.624 = 357,371 shares. What's that worth today? Adjust for the RS = 2382 shares * ($4.93 today) = $11,745

In short, it's been nearly a YEAR since the original Settlement and Release agreement of $223,000 that is now worth only a fraction of that at $11,745. It took FF 10 months to file the S-3 and these shares still cannot be sold unless they have an Effect notice given.

Case #26STCV22969 -- COSTAMP S.R.L. VS FARADAY FUTURE INTELLIGENT ELECTRIC, INC., ET AL

If the name Costamp sounds familiar, you would be right. The quick background is that Costamp sued for breach of contract, won, and FF didn't pay. Shocker right? Costamp filed this suit alleging they are still owed ~$1.4 million. Costamp was the supplier for major structural components for the FF 91, and it's my theory, that this is one of the factors why they aren't delivering anymore FF 91's. In fact, only two FF 91's have been delivered since the original lawsuit was filed. Here is the post I made about the original suit along with a description of the parts.

Now for this new lawsuit, which is a breach of contract for a breach of contract. LOL.

The summary goes as follows:

  • "December 15, 2025, Costamp entered into a Settlement and Release Agreement with Defendants to resolve a contract dispute over Defendants’ failure to pay Costamp invoices"
  • "Defendants agreed to pay Costamp $550,000 in cash, consisting of an initial payment of $75,000 by January 15, 2026, and subsequent monthly payments of $20,652.17 due by the 15th day of each month from February 15, 2026 through December 15, 2027
  • The remaining ~$1 million was to be paid with common stock but FF never filed a registration statement in the agreed upon time so they could be sold
  • In April of 2026 Costamp notified FF they were in default and now had to make monthly cash payments.
  • In July of 2026 FF finally registered the shares. S-3 here
  • Costamp said no we want our money and filed this suit

SCHEDULE 13G/A --- Faraday has been booted from the Russell indexes and Blackrock is selling. What will YT Jia say?

YT was very proud of the increase in institutional holdings by Blackrock, dare I even say he lied to you when he said the following:

Smart people know why they were buying and it wasn't because they believed in the company. They buy because of their passive index tracking funds, ETF's, etc. that follow the Russell indexes. They were automatic buy ins There's zero chance Blackrock ever thought Faraday is/was a good investment.

Blackrock has now filed a SCHEDULE 13G/A disclosing ownership of 1.4% or 4.1m shares. Down from around 9.5m

Lemon Law Lawsuit -- Oppenheim Group, Inc. v. Faraday&Future Inc. et al. (Case No. 26SMCV03999) FREE CARS!

Yup, That Oppenheim group. Jason Oppenheim who took delivery of FF91 #2

Here's the quick summary:

  • June 6th 2023, Jason Opennheim and FF enter into a "Creator Agreement"
  • "The Creator Agreement provides that “Creator has agreed to purchase the FF91 Vehicle. . . in exchange for Creator’s participation in this campaign,” and that “Creator will wire the funds to Faraday for the purchase of the vehicle within [f]ive business days of being notified in writing that the vehicle is ready for delivery.” "
  • "The Creator Agreement further provides that Faraday “will be responsible for any servicing of the vehicle and agree[s] to reimburse Creator for the full purchase cost should the vehicle be unserviceable or if there is a significant delay in repair due to manufacturing or supply issues”"
  • June 8th 2023, FF wired funds to Jason Oppenheim. It's an undisclosed amount but reasonable to assume that it equal to the price of the vehicle
  • Sept 11, 2023 Jason Oppenheim wired a total of $346,000 to FF
  • The FF91 proceeded to have MULTIPLE large issues before even reaching 1000 miles
  • FF couldn't fix it, Jason O wants his money back and claims he fulfilled his Creator Agreement, FF won't give it back because they claim he never paid for it. Jason O is now suing under a Lemon Law

What will YT say in today's We-are-not-a-scam update?

Will he:

  • Try to explain away the ~70% losses in two trading days?
  • Try to spin the losses in a way that makes it sound good?
  • Ignore the RS all together like it's immaterial?
  • Blame illegal short sellers
  • Introduce a new "strategy" or "ecosystem"?
  • Create some new buzzwords?
  • Show more videos of dancing robots?

Faraday ships 9 robots in three weeks. 251 down and 1749 to go

In the July 2, 2026 PR it was announced they shipped a cumulative 242 units through the end of June. They also "raised its full-year shipment target again from 1,500 to 2,000 units"

As of the July 21, 2026 PR about the reverse split, it was announced they had "surpassed 250 units in cumulative sales, shipments, and deliveries". We know what that really means. It's 251 units.

A grand total of 9 units in three weeks.

Backing up for a moment: This February 25, 2026 PR announced "Faraday Future to Kick Off 2026 EAI Robotics Deliveries Beginning Feb. 27"

Now lets do some napkin math:

  • Between February 27th and July 21st there have been 144 days and 251 robots shipped. That's ~1.74 robots/day
  • Lets extrapolate this rate until the end of the year. Between July 22nd and December 31st is 162 days. 162 days X 1.74 robots/day = 282 robots. At the current rate that's a total of 533 robots. Well short of the 2000 target and well short of the initial 1000 unit target.
  • So how do they need to ramp up to reach the 2000 unit target? They need to deliver 1749 robots in 162 days. That's 10.8 robots/day or a 520% increase in shipments.

Nasdaq Continued Listing Standards

Most people are familiar with the $1 bid rule and the new 2026 $0.10 rule but I don't believe we've seen much discussion about the overall continued listing standards and what some of the other requirements entail.

It breaks down into three columns. I've highlighted them in yellow, red and blue in the graphic. To stay listed, companies must satisfy all the requirements in at least one column.

Besides the $1 bid price, the key requirements are underlined in green.

  • Equity Standard: $2.5m in stockholders equity.
    • This number comes out quarterly in the 10Q/10K. FF currently has $19.2m according to Q1 10Q. We know this number has been negative before so there's a chance this could flip back negative but we just have to wait a few weeks and see.
  • Market Value of Listed Securities Standard: $35m
    • This is a $35m market cap requirement. As of today (before the 1:150 RS) there are 384,527,828 outstanding shares at an after hours price of $0.08. That puts the market cap at just under $31m. This column is unsatisfied.
  • Net Income Standard: $500k
    • LOL. Yeah right. They'll never meet this. This column is unsatisfied

When the deficiency notification comes from Nasdaq when they haven't satisfied any of these columns, companies are granted a 180 day to cure period. If they still haven't by the end of the 180 days then they move to a hearings panel where the company presents a plan and/or begs for forgiveness (kidding about the begging part). For a company to regain compliance, they can satisfy any one of the three columns.

FF is currently hanging on by the 19.2m stockholders equity and with the RS announced today we might see the market cap drop even further and into uncorrectable territory. As you can see, none of these requirements can be fixed with a RS making it a more difficult hole to dig out of.
