Location: Nashville, Tennessee
My fiancée and I are four months out from our wedding and just found out the venue holding our $22,000 deposit may not legally exist anymore.
We signed a contract just over a year ago and wired the deposit to a venue LLC registered in Tennessee. Everything seemed legitimate at the time.
A few weeks ago their website went down and calls stopped going through. I drove to the property and the venue was still physically open and running. Same building, same setup. But the name on the signage had changed.
I pulled Tennessee SOS records and found the original LLC was administratively dissolved last year for failure to file an annual report. They never contacted us. Our contract is with a dissolved entity.
The new business at the same address is registered to what appears to be the same person based on matching agent filings. Same location, same staff visible on their social media. The new entity was registered within a few months of the old one lapsing.
When I reached them by phone they said they have no obligation to honor contracts from a prior company.
What I have:
- Signed contract with the original LLC
- Wire records for $22,000
- Tennessee SOS records showing administrative dissolution and the new entity registration
- Screenshots of both businesses' social pages showing the same staff
My questions:
- Is this a recognized pattern legally? Same operator letting one entity lapse and continuing under a new one while holding customer deposits.
- Do we have grounds to go after the individual personally rather than the defunct LLC?
- Is there a criminal angle here or is this purely civil?
- At $22,000 what is the most realistic path forward given we are four months from our wedding?
