Hi everyone, I am a foreign licensed attorney hoping to sit for the CA bar in July 2027 (if everything goes to plan, lol)

I’ve been reading through the posts here and taking notes on study plans and recommended resources. Anyone in the same situation? How do you plan to go about studying? What materials/bar prep course have you picked out?

Kasama po ba sa definition ng “acquisition cost” ang paid-up capital (during incorporation)?

We’ll be selling all our 100 shares with 200,000 par value to another company. All 100 shares are subscribed and paid up capital is 5,000,000.

Our total shareholder equity is also 5,000,000 based in the AFS

The purchase price for all 100 shares is 1,875,000. If we put the 5,000,000 paid up capital as acquisition, we would not be paying CGT. Is this correct?
