Lease takeover/Asset sale (How to properly not take on their employees)

Anyone been thru this? Seller seems to think I'm also taking on his staff. It's a full LLC change, just met with the landlord to confirm they'll allow me to take over the lease with the sale. However owner brought up their employees?! I said I'm going to be starting fully new, but had to tiptoe around it a bit. I wanted to say "You are going out of business"

There's caveats tho. The employees are local, neighborhood folks. Said one lives 3 houses away. My fear is bad word of mouth gets around.

People seem to think their store and brand have value, when it doesn't. Place has only been open a year, and it just looks terrible. Plates, cookware & tables don't match, 3 different styles of wallpaper.

I was at karaoke last night, someone else sang it, and the lyrics for it weren't written. Just wondering what you've all interpreted it to be, or if you ever officially read them (were they in the liners?)

I always thought it was 'Yes I feel, like a dogged face' or 'daunting face' or something

¿Alguien tiene conocimientos sobre el sector de la restauración y la alimentación al ocupar un local pequeño, tipo garaje? (o cualquier "negocio" realmente)

Me han dicho que obtenga lo siguiente de los propietarios, pero en realidad ninguno de estos propietarios tiene nada de esto:

  1. Cambio De Uso (Cambio de uso Residencial/Comercial)
  2. Reconocimiento (Legalización de la Construcción e Inspección)
  3. Licencias Urbanisticas (Actividad Comercial)

Básicamente, parece que la mayoría de los propietarios, en algún momento, convirtieron su garaje en un negocio en toda la ciudad, pero he visitado algunos y la mayoría nunca lo formalizó ni tuvo la documentación en regla. Y se molestan cuando pregunto, diciendo que los negocios llevan años funcionando allí.

He consultado el historial de Google Maps y he visto muchos negocios y restaurantes de hace 5 a 10 años. ¿Es algo que no está regulado, pero en el que simplemente esperas que nadie llame para quejarse? ¿Alguien ha visto algún negocio clausurado después de su apertura porque el propietario no tuvo que corregir la documentación? ¿Conocen alguno que opere sin los papeles en regla?

**Además, no me refiero a licencias "específicas para restaurantes", como seguridad alimentaria o riesgo de incendio, etc. Me refiero al edificio. (He consultado el Uso De Suelo y están permitidos en la zona, pero me han dicho que cada "casa" necesita una inspección si se convierte en negocio, y la mayoría nunca lo hizo)

This is probably more of a human sociology or psychology question, but anyone ever deal with someone who just constantly second guesses or gives very basic "Did you think of this yet?" type questions constantly while you've been starting up?!

Its annoying af and I have a neighbor who is constantly doing it. First, he starts off with it wouldn't work because there is a similar themed place about 25-30 minutes away. Then says he's not sure it'll work (I never asked). Then suggests opening a deli instead even tho there is a Subway nearby. (and while I'm not a huge fan of Subway I'm also not sure competing with it would work, seems to have been there a long time and does pretty well). Like why open a deli counter shop if Subways there, but not a burger/taco/BBQ place if one is 30 minutes away?

I just brush it off and ignore him but some days I've been close to flipping out. I'm worried more about location, taxes, bookkeeping, staffing etc I don't need to hear 'Where are you gonna buy your meat from'.. Like, I've thought that thru, weeks ago and contacted them.

And, for the record, we've been in the area about as long as each other, so not like he has insider knowledge any more than I do. And I never ask for his opinion, he just blurts it out occassionally when passing by. He's kindof a jerk at times, sometimes he'll walk by and say "In a hurry, don't have time to talk' without me even trying to start a conversation. Its just frustrating.
