The planned articles of incorporation can “be amended or restated solely with the approval of the member; provided, however, that any amendment or restatement that materially or adversely affects or materially and adversely impacts the rights or responsibilities of the Community Directors shall require approval of at least 12 of the 14 voting directors…”

Aka atrium (the member) gets to dictate what they want to change—and I’m sure they’ll withhold funding until they reach the 12/14 votes.
