I’m looking for some general guidance and experiences from people familiar with UK company law, shareholder disputes, investments, or solicitor issues.

I invested a substantial amount in what was presented as a property development investment in England. The investment was through an Investment Agreement. The terms of the investment agreement was never met from the company side in terms of share allotment or registration on Companies House. The investment was also made to another company belonging to the director as bank accounts were still being established for this specific business (the other bank account details are mentioned in the Investment Agreement).

The issue I am facing is that the development did not proceed as the lender pulled out just as the project started. I have been trying to establish what happened to the money I had invested but to no avail.

I instructed solicitors to look into my matter. Since then I have spent various amounts at different stages but the matter has not progressed in a meaningful way.

Questions:

1. If an investment agreement expressly provides for shares to be issued, but the shares were never allotted or registered, what rights might the investor have?
2. Do I have a claim under the signed agreement even though I never became a registered shareholder?
3. Does paying the subscription money to a different company from the company named as the issuer of the shares create an additional issue?
4. If the underlying investment/project failed, does that simply mean I have lost my investment, and the Director is not responsible to share information about what was the money used for? Is it ok to enrich a company without there being consequences for failing to protect the company and investors?
5. There is substantial amount of evidence and other investors/creditors who are also owed money. They are unable to move forward due to financial circumstances. Are there avenues such no win, no fee or another structure to be able to get a solicitor who is capable and experienced to resolve this matter.

I am looking for someone who has experienced such a situation and can point me in the right direction. Furthermore, I am trying to understand the power of the legal system in terms of misconduct and to prevent others from falling into a similar trap like this (this is a type of fraud or a scam event in my life).

If anyone can be of any help or suggest a solicitor who can look into this matter then I would very much appreciate your assistance.

I’ve often heard that many Kuwaiti women are reluctant to marry a foreign man (even if they’re in love) because marrying a Kuwaiti offers greater security and stability, particularly regarding citizenship and other benefits.

With the recent changes and some people losing their citizenship, do you think this perspective is changing? Would marrying someone from abroad, such as a British national, be viewed differently today, or do the same considerations still outweigh everything else?

I’d be interested to hear different viewpoints and experiences.

I am sure you’re well aware that Kuwait has recently announced the framework for the Expat Investors visa for 15 years.

I would like to hear your thoughts as it is a step in the right direction and the entry point is enticing and yet there is hindrance as rules keep changing and as expat it can be rather daunting if things turn upside quickly. As expats, would you consider investing around 1-2 million KD in Kuwait to be able to live here permanently?

Also with investing that much money, does it seem there is room to be able to recoup that much money invested into the economy?
