SADP Nasugbu brides — please help a bride out! 💍🤍

I’m getting married at SADP Nasugbu, and I know they have a pretty strict protocol, especially when it comes to the bridal march. I was told that Canon in D is the only allowed song for the bride’s entrance.

However, I remember seeing a post before where a bride was able to have a different song approved. Has anyone here experienced this or successfully requested an exception? 🥹

If yes, how did you go about it, who did you coordinate with, and what happened? Was the song submitted for approval beforehand?

I’d really appreciate any tips or experiences from fellow SADP brides! 🙏🏻 I have a song that’s very meaningful to us and would love to know if there’s any possibility of having it approved.

Can a corporation remove a director/shareholder and transfer shares without their knowledge?

PROBLEM/GOAL: remove a director/shareholder and transfer shares without their knowledge
CONTEXT:
Hi everyone. I’m hoping someone familiar with Philippine corporate law can help me understand whether what happened is even legal.

Several years ago, my parents formed a family corporation. There were five people on the board:
My father (President) – owned 60% of the shares
My mother (Treasurer)
Me (Corporate Secretary)
My cousin (Medical Director)
My cousin’s spouse (Director)

The remaining 40% of the shares were divided among the four of us (10% each). Since it was a family business, we trusted each other and most of the SEC paperwork and corporate documents were handled by one of my cousins because my father appointed her to do so.

During the pandemic, our family fell apart. My father had an affair, my parents separated for a while, and communication between us and my cousins became almost nonexistent.
Recently, I found out that the corporation’s records are completely different from what they used to be.
I am no longer a director or Corporate Secretary.
My mother is no longer the Treasurer.
My cousin is now the Treasurer.
The Medical Director is now also the Corporate Secretary.

Most concerning, my 10% shares apparently are no longer under my name and are now under my cousin’s name.
I was never informed of any meeting where I was supposedly removed. I never attended any meeting approving a transfer of my shares. I never knowingly signed any Deed of Sale, Deed of Assignment, Stock Transfer, or endorsed my stock certificate.

My questions are:
Under Philippine law, can they simply remove me as a director without informing me?
Can they remove me as Corporate Secretary without my consent?
Can they remove my mother as Treasurer in the same way?
Most importantly, can they transfer my shares to someone else without my signature?
If my shares were transferred, shouldn’t there be a signed Deed of Sale/Assignment, endorsement of the stock certificate, and an entry in the stock and transfer book?
If none of those documents bear my genuine signature, does that potentially mean my signature was forged or that the transfer is invalid?
What documents should I request from the SEC or the corporation to verify what actually happened?

I’m considering consulting a corporate lawyer, but I’d like to understand whether these facts are immediate red flags before I do.
Has anyone dealt with something similar in a family corporation? Any advice would be greatly appreciated.

REHAB/PT CLINIC

I would like to establish a Rehabilitation Therapy/Physical Therapy clinic in our primary hospital. Where should I start, and what are the staffing requirements?

Is rehabilitation therapy covered by PhilHealth, and can the services be reimbursed through PhilHealth accreditation?

From a practical and financial standpoint, would it be better for the hospital to operate the clinic directly, or would it be more feasible to lease the space to a Rehabilitation Medicine physician, physical therapist, or an independent rehab group to manage the service?

Need advice from fellow brides and grooms! 🙏

We've been requesting quotations from different wedding suppliers and have found a few that we really like. How do you politely ask if they can offer a discount or adjust their package without making it seem like you're lowballing them or expecting them to reduce the quality of their services?
Any tips would be appreciated. 😊
