Offer's IP clause says company owns everything I build, even off-duty on my personal laptop. Asking for a carve-out before signing. Normal or bad idea?
My offer's IP clause says the company owns everything I create during employment, "including during off-duty hours," with no exception for personal projects. Here's the email I'm planning to send before signing:
Hi HR,
Thank you so much for this offer. I am extremely grateful and genuinely excited to join as an AI Engineer, and I am ready to sign.
There is just one point I'd like to clarify before I do. The Assignment of Inventions clause gives the Company full rights to everything I create during my employment, including work done in my off-duty hours.
I'd like to request that personal projects meeting all of the following conditions remain fully mine:
•Done entirely in my own time, outside working hours
•Done on my personal devices and accounts, without using any Company resources (equipment, LLM tokens, compute, tools, etc.)
•Not using any Company knowledge or confidential information
•Not competing with the Company's business
Anything I build for the Company, during working hours, or using Company resources or information would of course belong to the Company.
I truly believe encouraging this kind of personal exploration significantly boosts productivity. I have seen this first-hand at my current company, where many insights that helped my work came from side projects I built in my own time.
A short written addendum would work perfectly, and I will sign immediately once it is in place.
Thank you,
Does it sound good?
