Reuters: Marvell gives Google option to buy $12.2 billion stake in custom chip deal

SK Hynix has decided to repurchase KRW 40 trillion worth of its own shares and cancel all of the repurchased shares, making it the largest share buyback program in the history of a Korean-listed company.

SK Hynix believes that its current share price does not fully reflect the company’s intrinsic value, considering its strong cash-generating ability and business competitiveness.

SK Hynix Announces Massive ₩40 Trillion Share Buyback and Cancellation

SK Hynix held a board meeting on August 19 and resolved to purchase 24.07 million common shares on the open market and cancel all of them. If carried out as planned, approximately 3.3% of the company’s total outstanding shares will be eliminated. The planned cancellation is valued at ₩40.00434 trillion, making it the largest share buyback cancellation ever carried out by a listed company in South Korea.

The company will also expand its shareholder-return policy, which had previously been set at “within 50% of cumulative free cash flow (FCF)”, to “50% or more.” SK Hynix plans to combine share buybacks and cancellations with cash dividends, while also considering additional dividend increases, including fixed and special dividends.

The shares to be acquired represent approximately 3.3% of SK Hynix’s 730.492 million outstanding common shares. If all 24.07 million shares are cancelled, the number of outstanding shares would, by simple calculation, fall to approximately 706.422 million.

The company will purchase the shares on the open market over approximately three months, from August 20 to November 19. SK Securities will act as the investment broker handling the purchases. Once the acquisition is completed, the purchased shares will be cancelled in a single transaction. The exact cancellation date has not yet been determined.

The figure of 24.07 million shares was calculated based on SK Hynix’s closing share price of ₩1.662 million on August 18, the day before the board resolution, to match the planned cancellation amount of ₩40.00434 trillion. Because the share price may change during the acquisition period, the final number of shares purchased and the actual cancellation amount may differ. SK Hynix said it will disclose the exact number of shares cancelled through a corrected filing after completing the purchases.

The cancellation will be carried out pursuant to the proviso to Article 343(1) of Korea’s Commercial Act, which allows treasury shares acquired within the limits of distributable profits to be cancelled. Although the total number of issued shares will decline, the company’s capital will not decrease because the par value per share remains ₩5,000.

SK Hynix explained that it decided on the large-scale buyback and cancellation because it believes the company’s intrinsic value—based on its business competitiveness, cash-generation capacity and long-term growth prospects—is not sufficiently reflected in its current share price.

The company is continuing to post record results, driven by growing demand for artificial-intelligence (AI) memory. As of the end of the second quarter, SK Hynix had approximately ₩69 trillion in net cash. Net cash is calculated by subtracting borrowings from cash and cash equivalents and serves as an indicator of the company’s financial capacity to fund share buybacks.

The decision also represents an early implementation of SK Hynix’s 2025–2027 shareholder-return policy. In November 2024, the company announced that it would return up to 50% of cumulative FCF over the three-year period to shareholders. At the time, it said that if improved business performance significantly increased FCF, it could accelerate shareholder returns before the end of the policy period.

FCF is the cash remaining after a company deducts capital expenditures and other operating expenditures from the cash generated through its business operations. It can be used for dividends, share buybacks and cancellations, debt repayment and other purposes, making it an important indicator of a company’s capacity to return capital to shareholders.

Through Wednesday’s announcement, SK Hynix raised its shareholder-return target from “within 50% of cumulative FCF” to “50% or more.” In addition to the ₩40 trillion share buyback and cancellation, the company intends to continue paying cash dividends.

SK Hynix is also considering ways to increase dividends, including fixed and special dividends. The specific size and structure of additional shareholder returns will be determined by the board after considering cash flow during the policy period, market conditions and distributable profits. The company plans to provide further details around the time it announces its third-quarter results.

Trendforce: Combined Revenue of Top Five NAND Flash Brands Rises 77% QoQ in 2Q26 - Micron Moves Up to Third Place

TrendForce’s latest NAND Flash industry research reveals that AI server demand remained steady in the second quarter of 2026—particularly for enterprise SSDs—resulting in a supply shortage across the NAND Flash market. This allowed suppliers to raise ASPs significantly through contract negotiations. As a result, the combined revenue of the top five publicly listed NAND Flash brands rose 77% QoQ to US$68.87 billion.

Looking ahead to the third quarter, demand from smartphones and PCs is expected to remain weak as higher BOM costs push up device prices. However, demand from AI servers for enterprise SSDs remains strong. Meanwhile, suppliers are generally prioritizing capital expenditure on DRAM and HBM, limiting new NAND Flash capacity. ASPs are therefore expected to continue supporting overall industry revenue growth in the third quarter.

Among the top five NAND Flash brands, market leader Samsung benefited from higher NAND Flash ASPs driven by AI server demand, while a growing share of enterprise SSD shipments significantly improved profitability. Revenue rose 70.7% QoQ to nearly $23.06 billion. However, as competitors posted faster revenue growth, Samsung’s market share edged down to 29.3% in the second quarter.

SK hynix Group, including SK hynix and Solidigm, ranked second. Continued ramp-up of its 321-layer process, strong orders for Solidigm’s high-capacity QLC enterprise SSDs, and rising ASPs lifted NAND Flash revenue 89.5% QoQ to more than $14.27 billion. Its operating margin also reached another record high.

>Micron likewise benefited from a significant increase in ASPs, with NAND Flash revenue reaching $11.85 billion, up 99.2% QoQ — the highest growth rate among the top five brands. This lifted Micron to third place.

Kioxia ranked fourth. Revenue and profitability increased, supported by persistently high NAND Flash prices and continued growth in BiCS8 output. Revenue rose 79.9% QoQ to approximately $10.72 billion, while market share edged down to 13.6%.

SanDisk also benefited from AI-driven ASP increases in the second quarter. However, relatively conservative bit shipment growth limited its revenue increase to 50.7% QoQ, reaching nearly $8.97 billion and trailing the growth of its peers.

Macro or no macro - I don’t care anymore

I’m getting really f***g tired of this stock and everything that comes with it. The volatility is just infuriating. I regret ever getting involved with it. I’d honestly rather buy something like Coca-Cola or Amazon. This thing trades like a memecoin on pump.fun

All this uncertainty around buybacks, dividends or zero, the ADR premium without arbitrage, what’s going to happen to memory prices, Korean gamblers, Korean oligarchs, market moves on 1 share buy, North Korea, and the stock constantly dumping on every piece of news…

None of this is healthy, and it’s pretty obvious the whole thing is a shitshow. As soon as I get back to breakeven, I’m out. Bye-bye. I’ll buy something normal instead.

The upside could be massive: a high-end scenario implies roughly KRW 20T in cash dividends and KRW 40T in buybacks. That would equal about KRW 28,900 per share including the base dividend—around a 1.9% cash yield—and a total shareholder return equivalent to roughly 5.4% of the current market cap. If the repurchased shares are retired, the per-share value impact would be even stronger.

According to CNBC, Korean retail investors net-bought around $4.5B of U.S. stocks in July, with a huge chunk going into semiconductors and leveraged ETFs.

The funniest part: SK Hynix ADRs were one of the most popular buys, even though Koreans can simply buy SK Hynix shares in Korea. The ADR was reportedly trading at roughly a 10% premium to the underlying Korean shares.

So what’s more degen?

  1. Thinking the market needs even more leverage to keep pumping

  2. Paying a ~10% premium to buy the exact same SK Hynix exposure through the U.S. ADR

Korean retail investors really said: “If there’s a cheaper version of the same stock available, I don’t want it.” 💀

If you look at the history of the foreign vs domestic institutional buy/sell charts, aren't the top 5 korean investment banks not blatantly manipulating prices?

They sell hundreds of thousands of stocks yesterday, reverting a weeks worth of gains from foreign investments, and now that 000660 drops back to 1.5 their buy to sell ratio is skewed so far towards buying. It's funny seeing JPM, GS, and CLSA buying high and selling low.

They just got a 18% discount on hundreds of thousands of korea's #1 company. It sucks that American memory stocks are caught in this cycle of doom.
