Swiggy gets shareholder nod for key changes to secure IOCC status

Swiggy has secured shareholder approval for key changes aimed at helping it qualify as an Indian-owned and controlled company (IOCC), clearing a major hurdle after a similar proposal was rejected by investors in May.

At its August 18 annual general meeting (AGM), shareholders approved a special resolution to alter the company's Articles of Association (AoA) with 93.97 percent of votes in favour.

Axis bank vs customer debate on limit enhancement under self employee…

Axis Bank & Self-Employed Customers — Lack of Clarity or Intentional Friction?

Applied for a credit limit enhancement with Axis Bank under self-employed category

Initial Requirement

Axis asked for:
• Last 2 years ITR
• Computation of Income

No mention of CA certification.
Simple and standard — submitted accordingly.

First Rejection ~

Response: “Computation not acceptable”

No explanation on:
• What is wrong
• What format is required

Second Submission

Submitted:
Full ITR PDF from Income Tax portal
Includes official Computation of Total Income (Part B-TI)

Still rejected.

Final Twist

Now Axis says:
“Provide CA-certified computation”

This is not about documents.
This is about unclear and shifting requirements:
If CA certification is mandatory →
Why not say it upfront?
Why multiple rejections for the same data?
Why force customers into repeated submissions?

If Axis Bank does not want to increase limits for self-employed customers,
then clearly communicate that.

Don’t create a process where:
Requirements keep changing
Customers keep guessing
Time gets wasted

Zero Mdr rule ..for Paytm business app..

Zero MDR rules~Paytm business app…
Person 1 → pays ₹2,000 to Merchant
• Person 2 → pays ₹2,000 to same Merchant
• Person 3 → pays ₹2,000 to same Merchant
Does the merchant pay MDR?
No. Zero MDR.

Official confirmation from NPCI circular (still valid):

NPCI circular ~
The rule is strictly per transaction.
It is not based on total money received by the merchant in a day.

It is not based on number of customers.
As long as each individual payment is ₹2,000 or less, the merchant gets Nil MDR (for small offline merchants).

Even if 50 different people each pay exactly ₹2,000 to the same small merchant on the same day, the merchant still pays zero MDR on all of them.
MDR only starts when any single transaction crosses ₹2,000.

This is the clear and consistent position across all official sources.

Paytm business app…No Mdr up to 2000… per person…

If small merchants have a ₹2,000 limit, then what’s the purpose of enabling “More than ₹2,000” payments with a 2.3% charge? 🤔

Milky Mist does not sell milk. Not even a single packet.

Milky Mist does not sell milk. Not even a single packet. They buy 400 million liters milk every year and convert all of it into paneer, cheese, curd and ice cream.

Milky Mist did not own the brand name. It was owned by the founder till last year who sold it to the company for ₹8 crore.

Biggest shareholder of Milky Mist is not the founder himself. It's his wife who holds 49.48%. Founder holds 39.38% only.

Milky Mist has 1317 permanent employees and their FY26 revenue was ₹3138 crore. That's more than ₹2.4 crore revenue per employee. Even IT companies or Jio can't beat this number.

They barely advertise. FY24 ad budget was ₹20.6 crore which is just 1% of their revenue. They have a different and unique style of marketing.

Milky Mist owns 41,459 refrigerators. They have given these to kirana stores. Whenever you visit a shop, you see their name. Free marketing.

ROE in FY26 was 32%. You will see this number, you will go crazy. But this is funded by debt. ROCE is only 11.73%. They have borrowed ₹1672 crore against equity of ₹463 crore. Debt to Equity is 3.61x.

100 days before the IPO opened today, Temasek acquired 5% of Milky Mist at roughly 10000 cr valuation. IPO is valued at the same price.

Meesho is literally telling you how payments work… Accepts Amex / Credit Cards / UPI Gives ₹20 discount …Charges ₹20 EXTRA for Cash on Delivery

Meesho is literally telling you how payments work… if you read between the lines
Accepts Amex / Credit Cards / UPI
Gives ₹20 discount on online payment (₹175 → ₹155)
Charges ₹20 EXTRA for Cash on Delivery

Now ask yourself — why would they penalise COD and reward online?

Reality of payment economics:
MDR cost (what Meesho pays):
Credit cards: ~2–3% (Amex even higher)
UPI: ~0–0.3%

Even after paying this, they still push online payments.

Because COD is FAR more expensive ~

Cash handling risk~
Cash can be lost, stolen, or mismatched. No such issue in digital payments.
Settlement delay~
Online → instant confirmation
COD → money comes after 2–3 days (working capital blocked)

Courier charges~
Delivery partners charge EXTRA for:
Cash collection
Reconciliation
Reverse logistics

High RTO (Return to Origin)
COD orders have much higher cancellation rates
Customer can simply refuse delivery →
Shipping cost lost
Inventory stuck
Double logistics cost

Fake / low-intent orders
COD attracts non-serious buyers
increases operational inefficiency

Final takeaway:
Even after paying MDR on cards,
Platforms like Meesho STILL prefer:

UPI / Credit Cards >> COD

Because:
COD = logistics + risk + delay + cancellation loss
It’s not a “free service” —
It’s actually the most expensive payment mode in e-commerce.
If you understand this,
you’ll understand why every platform is quietly pushing
“Pay Online & Save More”

UPI transactions are free for common people and will remain free. No charges will be levied on this. In the future, even if MDR charges are levied, they will remain quite low and will only apply to select merchant transactions.
